    Dear Mr XXXX,


    Re: Letter of Intent to Purchase XXXXX HOLDING LTD

    This Letter of Intent serves as the written intent of Waste Ltd (the “Purchaser”) to purchase from XXXXX HOLDING LTD (the “Vendor”) the XXXX HOLDING LTD property municipally known as XXXXX HOLDING LTD 10 XXX, London NW6 7TJ.

    TERMS AND CONDITIONS OF PURCHASE AND SALE

    Conditions for the employees from XXXXX LTD

    The Purchaser takes over the Vendor´s employees with salaries and working hours.

    The Vendor liabilities

    The Purchaser takes over balance sheets of the Vendor at XXth of December 2013 in Appendix A4.


    Purchase Price and Deposit

    The Purchase and the Vendor agree that the purchase of the Property shall be the sum of ($XX million) Dollars.
    Upon execution of this Letter of Intent by the Purchase and the Vendor, the Purchase shall deliver to the Vendor, or the Vendor´s attorney a deposit in the amount of ($XX million) Dollars, to be held in trust and applied to the purchase price on the closing date.

    FINANCING

    Upon execution of this Letter of Intent by the Purchase and the Vendor, the Purchase shall obtain financing a qualified in an amount no less than ($XX million) Dollars for the purchase of the Property agrees that it shall provide evidence of such approved financing to the Vendor within 30 days of the execution of this Letter of Intent.


    CLOSING DATE

    The parties hereby agree that the closing date for the purchase and sales of the Property
    shall be the XXth of January, 2014, or on such other date as the Purchaser and Vendor may agree in writing.

    The Purchaser and the Vendor herby acknowledge and agree that this Letter of Intent
    shall not be binding on either party and only constitutes an expression of interest by the parties to negotiating the transaction contemplated herein and does not impose any legal obligation or duty by either the Purchase or the Vendor.

    The Purchaser and the Vendor herby further agree upon execution of this Letter of Intent by each of them, the Purchaser shall its attorney a formal Agreement of Purchaser and Sale for the purchase of Property by Purchaser form the Vendor.
